Terms of Service

1. Service Description

TrustedPortal, Inc. ("TrustedPortal") provides secure portal infrastructure, document exchange, and managed hosting services to financial institutions ("Clients") under individually negotiated service agreements.

2. Eligibility

Our services are available to regulated financial institutions, including banks, credit unions, broker-dealers, registered investment advisors, and insurance companies operating within the United States.

4. Service Level Agreement

Platform availability is governed by the SLA attached to each client's service agreement. Standard SLA provides 99.99% monthly uptime with defined credit remedies for shortfalls.

5. Data Security

TrustedPortal maintains SOC 2 Type II certified controls. Data processing is governed by a Data Processing Agreement executed with each client. We do not access Client Data except as necessary for service delivery or as directed by the client.

6. Intellectual Property

The TrustedPortal platform, including all software, interfaces, and documentation, remains the intellectual property of TrustedPortal, Inc. Clients retain all rights to their data and branding assets.

7. Limitation of Liability

TrustedPortal's aggregate liability under any service agreement shall not exceed the fees paid by the client in the twelve months preceding the claim. We are not liable for indirect, consequential, or punitive damages.

8. Termination

Either party may terminate a service agreement with 90 days written notice. Upon termination, TrustedPortal will provide data export in standard formats and securely delete all Client Data within 30 days.

9. Governing Law

These terms are governed by the laws of the State of North Carolina. Disputes shall be resolved through binding arbitration in Charlotte, NC under AAA Commercial Rules.
